Item 5.02.
Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 1, 2014, Micronet Enerec Technologies, Inc. (the "Company") and its Executive Vice President of Business Development, Mr. Shai Lustgarten, have agreed to terminate his office and employment with the Company, effective immediately. The Company also announces that the Board of Directors of Micronet Ltd, ("Micronet"), a 58.6% owned subsidiary of the Company, has appointed Mr. Lustgarten as the Chief Executive Officer of Micronet, effective July 1, 2014.
