Micronet Enertec Technologies, Inc. (the “Company”) is filing this Notification of Late Filing on Form 12b-25 (the “Form 12b-25”) with respect to its Annual Report on Form 10-K for the fiscal year ended December 31, 2017 (the “Annual Report”). The Company has determined that it is unable to file the Annual Report within the prescribed time period without unreasonable effort or expense. The reason for the delay is the need for the Company to complete its audit of its wholly owned subsidiary, Enertec Systems 2001 Ltd. (“Enertec”), as it relates to the previously announced proposed sale of Enertec. The Company expects to file the Annual Report on or before fifteenth calendar day following the prescribed due date.

As a result of the previously announced intended sale of Enertec, the Company intends to present Enertec’s assets and liabilities as classified as held for sale and the results of operations in the statement of operations, and related prior periods, will be reclassified as discontinued operations.
